Company Formation in Romania
Welcome to Squirrel Homes SRL . We are an English run company situated in Transylvania, Romania and offer a comprehensive range of services including property acquisition, company formation, legal services and advice in Romania. Romanian Law No: 54/1998 provides that "the citizen shall not be granted the ownership right for land but such a foreign citizen could establish a Company in Romania, in order to buy as much land as he wishes". Essentially, Romanian companies are similar to most other European companies. They require shareholders and directors and a registered office. The ‘limited company’ has the same meaning as in other countries in that the liability of the shareholders is limited to the amount of share capital invested. This is protection for the shareholders, and at the same time indicates to other investors and traders the substance of the company. There are no restrictions for someone residing outside of Romania in acquiring a company in Romania. In Romania it is required that a company specifies its main activity and is allocated a code number which relates to that particular activity. Other activities may be included at a later date. As elsewhere, a registered office is required, and we can provide this facility. There are a number of other technicalities particular to Romania, but the function of Squirrel Homes SRL is to deal with these on behalf of the client to provide a fully legalized entity as simply and as quickly as possible. Costs: Complete Company Formation 690 euros Registered Office Facility 150 euros Share Capital (which you retain) 60 euros Total : 900 euros Please note: This is our all inclusive fee. There are no hidden or additional expenses. If you purchase property from us we will subtract 400 euros of the cost of the company formation making a total of 500 euros. Optional extras: Legal services Accountancy services Printed Stationary Business Cards Brochures Translation services Website design etc. It will take approximately 14 working days to incorporate the company. The above costs specified are for a limited liability company (SRL). If you think you may need a company other than an SRL please let us know. If you wish to proceed we would require a deposit of 500 euros which includes 150 euros for the registered office and 60 euros for the share capital. COMPLETE COMPANY FORMATION legal documentation provision of Memorandum and Articles of Association confirmation of company registration number despatch and receipt of Power of Attorney if necessary and final Certificate of Incorporation company stamp. REGISTERED OFFICE FACILITY We can provide a registered office facility in Romania. This will be for the first three months after registration, after which clients should transfer the registered office address to their place of business. The charge for this facility for the initial three month period is 150 euros. If required, one can extend this initial three month period at a rate of 40 euros per month. MAIL FORWARDING ETC We can also provide a mail forwarding service, an email facility and fax service. We will quote separately for this depending on the country of origin of the principals.
